Time Warner to buy NDTV Imagine for $126.5 million

Time Warner Inc said Thursday it has agreed to invest $126.5 million and acquire 92 per cent stake in NDTV Imagine Ltd.

The acquisition of NDTV Imagine from NDTV Networks Plc, an indirect subsidiary of NDTV Ltd, will be made by Turner Asia Pacific Ventures (TAPV), a Time Warner company.

The transaction includes the secondary purchase of 87.4 per cent stake in Imagine from NDTV Networks Plc and another minority shareholder, as well as a $50 million primary capital infusion for the funding of the business at the acquisition’s closing.

The other eight per cent stake will be held by Imagine’s management, participants in an employee stock ownership plan and NDTV Networks Plc.

After the completion of the transaction, once regulatory approvals are received, Imagine will continue to be led by CEO Sameer Nair. The existing core team will work in tandem with Turner’s senior management.

For Turner, Imagine will become a key part of its operations in the Asia-Pacific region, and it will be part of its bouquet that also contains channels like Cartoon Network, Pogo, CNN International, WB, HBO and TCM.

Turner Broadcasting System Asia Pacific (TBSAP) president Steve Marcopoto says, “India continues to be a key priority for us. Our accelerated pace of investment here underscores both our commitment to this dynamic market and our view of India’s compelling long-term potential.”

NDTV Ltd chairman Prannoy Roy added, “For NDTV, this marks the final stage and the successful conclusion of the restructuring of its subsidiary, NDTV Networks, plc. As a result of this restructuring, the NDTV Group will be in a position to be cash-surplus and debt-free on a consolidated basis.”

Turner also has several partnerships in India, including those with Zee Entertainment and Enterprises Ltd (Zeel) for distribution company Zee Turner Ltd; IBN18 for the co-branded English news channel CNN IBN; and the Alva Brothers for a minority stake in production house Miditech and Hindi general entertainment channel, Real.

BofA Merrill Lynch served as financial adviser to Time Warner on this transaction.

Earlier, NDTV had announced the total transaction size is $117 million and involves a sale of 76 per cent of NDTV Imagine to Turner for a consideration of $67 million together with the subscription to fresh shares in Imagine by TAPV for $50 million.

Post Swayamvar, Imagine launches Pati Patni Aur Woh

NDTV Imagine has some good reason to smile. In the Hindi general entertainment channel (GEC) space, the final episode of its marriage-based reality show, called Rakhi Ka Swayamvar, clocked in ratings of 8.4 TRPs on August 2, 2009. This is the highest score for a non-fiction show till now in 2009.

To maintain the performance consistency of the channel via the Rakhi factor, the channel is coming up with yet another show centered around marriage theme. Rakhi Sawant and her ‘official husband’ Elesh Parujanwala are getting ready to take their relationship to the next level, by playing parents on a new reality show, called Pati Patni Aur Woh.

Pati Patni Aur Woh is being launched after Rakhi Ka Swayamvar. Nikhil Madhok, vice-president, marketing, NDTV Imagine, explains that in the GEC space, its the innovation that has gone up drastically to maintain the lead position.

Madhok says, “Some time back, there were two-three shows being launched annually and these shows were being replaced after a long period. Now every other month, there is a new launch as channels have at least six-seven new shows lined up for a year.”

Meanwhile, Rakhi has even decided on a name for her child. “I will call her Khushi,” she says. When asked about the concept behind the show, she says, “I don’t know. All I know is that I am going in a house just to have a picnic for one month.”

Rakhi and Elesh will be joined by four other celebrity couples – Shilpa Saklani and Apurva Agnihotri; Juhi Parmar and Sachin Shroff; Mouni Roy and Gaurav Chopra; and Debina Bonnerjee and Gurmeet Chaudhary.

The show’s format is borrowed from The Baby Borrowers (BBC Worldwide Productions), in which five couples, aged 16 to 19, start off by attempting to look after a baby for three days, before moving onto toddlers, preteens, teenagers and finally an elderly person.

In the Indian version, the couples will spend an entire month in a closed environment, monitored by cameras all the time, which will also capture their journey as they embark on a new life of discovery as first-time parents.

Rakhi’s Swayamvar is India’s most watched TV show

Rakhi Sawant, the outspoken, wannabe-bride on NDTV Imagine has not only managed to select her groom on television, but has also achieved in garnering the maximum ratings for any reality show in last two years.

As per Tam data, the grand finale of Rakhi Ka Swayamvar Faisle Ki Raat, which was aired live on 2 August from 9-11.30 pm, fetched a whopping TVR of 8.4 for the channel.

The viewers remained captivated by Rakhi and her tantrums to make the finale the top rated show among the Hindi GECs (general entertainment channels) during the week. It also helped the channel to notch a total of 141 GRPs in the week ended 2 August.

Rakhi Ka Swayamvar had been into controversies from the very beginning. While on one hand, there was Rakhi selecting and rejecting perspective contestants as per her whims and fancies, there were news channels on the other hand trying to create scoops out of the show.

It is pertinent to note here that News24 conducted a sting operation, saying that the show was rigged, ultimately helping the property to garner more eyeballs.

Rakhi Ka Swayamvar that hit the television screen on 29 June witnessed the best non-fiction opening with a TVR of 4.1, till Sach Ka Saamna launched on Star Plus. But the show did what it was created for. It gave NDTV Imagine a major upward push. The channel which was hovering around the 100 GRP (gross rating points) mark on a weekly basis, before the launch of the show, zoomed up by over 25 GRPs per week.

Overall, the show that was spread over a 6-week span fared an average of 2.8 TVR.

On a week-on-week basis, the show managed an average TVR of 2.8 in its first week. The ratings dipped slightly in the second week (2.3 TVR) but as word of mouth about Rakhi’s hunt for a dulha spread, the ratings soared higher. However, after an average of more than 3 TVR for two consecutive weeks, the three remaining contestants and Rakhi lost some of the charm as average rating slumped to 1.5 TVR in the fifth week.

The final week (average 5.9 TVR) saw two major events in the show, Mehendi Sangeet on 1 August (3.4 TVR) and the finale, where she picked NRI Elesh Parujanwala as her to-be groom.

And now, the channel has decided to milk all the publicity around the couple, and has roped in them to contest in their upcoming reality show, Pati Patni or Woh, which is adaption of international format show Baby Borrowers. BBC Worldwide, which holds the rights of the show is producing it for the channel.

NDTV Imagine’s Ramayan gets fantastic southern response

NDTV Imagine’s time tested mythology Ramayan has received a fantastic response from audiences across the country. The show, which catapulted the channel to the No 3 position in prime time, was the catalyst for the revival of mythological serials across television channels.

The dubbed adaptations of NDTV Imagine’s Ramayan are now creating waves down south across Kerala, Andhra Pradesh and Tamil Nadu. The Tamil version of the serial went on air on Sun TV in March. It beams Sundays, 10.30 am to 11.30 am. Seeing the instant success and response it received, in early May, it began to be aired also on Gemini TV and Surya TV, Monday to Friday, 7 pm to 7.30 pm.

As per the TAM Peoplemeter, On Sun TV, Ramayan has grown the time slot by over 86%, making it the No. 1 weekend show. The show on Gemini TV has managed to grow the slot by 14%, while on Surya TV, it is pitted against the top show in the Kerala market, but it still helped the channel slot grow by 47%.

On Sun TV, Ramayan averages in excess of 9 TVR since it launched on March 16. On Gemini TV, it averages close to 4.5 TVR and on Surya TV the show averages in excess of 4 TVR.

Gaurav Gandhi, EVP, business operations and ancillary revenues, NDTV Imagine, said, ” Our goal at NDTV Imagine is to create compelling content that can be distributed across multiple platforms and geographies. Ramayan, besides being an instant hit on our own channel, has found tremendous success in the 3 southern markets as well.”

NDTV Imagine to launch 3 shows in Feb

MUMBAI: NTDV Imagine will launch three new weeklies in February.

The first will be Radhaa Ki Betiyaan Kuch Kar Dikhayengi, a family drama that drives home the belief that daughters are indeed a blessing. Following that will be Raajkumar Aaryyan, a fantasy love story set in a time when magic, intrigue and illusion existed in the real world. On the other hand, the third show Ek Packet Umeed is a touching drama of individuals who have fought adversities and emerged winners in life.


Radhaa Ki Betiyaan Kuch Kar Dikhayengi stars Supriya Pilgaonkar, Mona Vasu, Ragini Khanna and Ratan Rajput. It will launch on 4 February and will air every Monday at 8:30 pm.


From 5 February onwards, Ek Packet Umeed will be aired every Tuesday at 8:30 pm. This show stars Neena Kulkarni, Rupali Ganguly, Lubna Salim, Suhas Joshi, Suchita Trivedi, Sulbha Deshpande, Aatisha Naik, Meher Acharia-Dhar, Jhanvi Dave, Trishna Vivek and Rakesh Bapat.


Raajkumar Aaryyan will launch on 6 February and will be aired every Wednesday at 8:30 pm. The show stars Aniruddh Dave, Manish Wadhwa, Yami Gautam, Nirmal Pandey and Shahbaaz Khan.

NDTV Imagine goes on air; floods print ads across 50 cities

MUMBAI: News broadcast major NDTV Group officially launched its Hindi general entertainment channel NDTV Imagine under stewardship of Sameer Nair at 7 pm this evening.
NDTV Imagine, which expects to break even in 2009, has done some extensive marketing for the release. Besides the month old on-ground activities and on air TVCs, Imagine has flooded the print media with its adverts for the big day.

“We have carried out flip ads across all major publications in 50 major cities of the Hindi speaking Market,” says NDTV Imagine marketing and communications research executive vice president Manoj Vidwans.

The channel has also created an account with the free video sharing site YouTube for uploading of their content. “For the youth who spend more time on the internet, NDTV Imagine is going to provide special clippings and some footage of our shows on YouTube. This will attract more viewers,” avers Vidwans.

Imagine marks the group’s foray into the entertainment space, starting with Hindi GEC, and expanding into movies, regional, youth and kids programming.
